Welcome to Virtual Publicist ("VP", "Virtual Publicist", "we", "our", or "us").

These Terms of Service ("Terms") explain how you may access and use Virtual Publicist.

By creating an account, accessing our website, using our application, connecting third-party services, purchasing a subscription, or using any Virtual Publicist feature, you agree to these Terms.

If you do not agree, please do not use Virtual Publicist.

Our Mission

Virtual Publicist exists to help artists discover opportunities, build meaningful industry relationships, and make better career decisions through technology, data and artificial intelligence.

Virtual Publicist provides tools, recommendations and insights.

We do not guarantee career success, placements, media coverage, playlist additions, label signings, sponsorships, sync placements or any other business outcome.

Eligibility

To use Virtual Publicist you must:

be legally capable of entering into a binding agreement;
comply with all applicable laws;
provide accurate information when creating your account; and
use the platform honestly and responsibly.

You may not create an account if prohibited by applicable law.

Your Account

You are responsible for:

maintaining the security of your account;
protecting your password;
all activity occurring under your account;
keeping your information reasonably accurate.

You agree not to share your account with others.

If you believe your account has been compromised, notify us immediately.

Your Content

You may upload or submit content including:

music
recordings
artwork
logos
photographs
biographies
press kits
videos
links
documents
profile information

You remain the owner of all intellectual property rights in your content.

Nothing in these Terms transfers ownership of your creative work to Virtual Publicist.

License You Grant Us

To operate Virtual Publicist, you grant us a worldwide, non-exclusive, revocable (subject to reasonable operational limitations), royalty-free license to:

host your content;
store your content;
process your content;
analyze your content;
display your content within the Service;
generate recommendations;
personalize your experience;
match you with opportunities, industry professionals, companies and Collections;
create AI-powered insights;
display your public profile if you choose to make it public.

This license exists solely for operating and improving the Service.

It does not transfer ownership.

Public Profiles

Virtual Publicist may allow Artists to create public profiles.

If you enable a public profile, information you choose to make public may appear:

on Virtual Publicist;
inside public Collections;
in public search results;
in search engines;
in promotional materials relating to the Service.

You control whether your Artist profile is public, subject to technical and legal limitations.

Industry Profiles

Virtual Publicist maintains profiles relating to music industry professionals, companies, organizations and opportunities.

These profiles may be created using:

publicly available information;
editorial research;
authorized data imports;
verified submissions;
claimed profile information.

Profile owners may request corrections where appropriate.

Virtual Publicist reserves editorial discretion regarding publicly available factual information.

Connected Services

You may connect third-party services including, where available:

Spotify
YouTube
Apple Music
SoundCloud
Instagram
TikTok
Facebook

These connections are optional.

By connecting a service you authorize Virtual Publicist to access information made available through that platform's authorization process.

Your use of third-party services remains subject to their own terms and privacy policies.

Virtual Publicist is not responsible for third-party platforms.

Artificial Intelligence

Virtual Publicist uses AI to assist with features including:

VP Scan
Career Briefs
opportunity recommendations
outreach suggestions
pitch drafting
profile analysis
recommendation explanations
categorization
discovery

AI-generated information is intended to assist your decision-making.

AI outputs may occasionally be incomplete, outdated or incorrect.

You should exercise your own judgment before acting on AI-generated recommendations.

Virtual Publicist does not guarantee AI accuracy.

VP Scan

VP Scan analyzes information you choose to provide or authorize.

The purpose of VP Scan is to help identify:

opportunities;
industry professionals;
companies;
Collections;
recommendations;
potential career actions.

VP Scan is an advisory tool.

It does not guarantee success or future outcomes.

Recommendations

Recommendations are based on available information at the time they are generated.

Recommendations may change as:

your profile changes;
connected accounts change;
industry information changes;
opportunities expire;
new information becomes available.

Virtual Publicist does not guarantee that every recommendation will remain current.

Outreach

Virtual Publicist may provide tools allowing you to contact industry professionals.

You are responsible for all messages you send.

You agree not to:

spam;
harass;
impersonate others;
send misleading information;
violate copyright;
abuse the platform.

Virtual Publicist may restrict messaging where necessary to protect the platform or its users.

User Conduct

You agree not to:

create fake artist profiles;
upload music you do not have rights to;
upload copyrighted content without authorization;
impersonate another person or company;
attempt to obtain hidden contact information without authorization;
reverse engineer the Service;
scrape or bulk-download protected information;
distribute malware;
interfere with the platform;
use bots to abuse the Service;
exploit bugs or security vulnerabilities;
violate applicable laws.

Violation may result in suspension or termination.

Copyright

You represent that you own or have the necessary rights to all content you upload.

You agree not to upload:

unauthorized music;
copyrighted artwork;
copyrighted photographs;
copyrighted videos;
infringing logos;
unauthorized recordings.

Virtual Publicist respects intellectual property rights.

Subscription Plans

Virtual Publicist currently offers:

Free
Pro
Elite (where available)

Features may differ between plans.

Plan details are described on our Pricing page.

We may modify plans or features over time.

Billing

Subscriptions are processed through Stripe.

By subscribing you authorize recurring billing until your subscription is cancelled.

Taxes may apply where required by law.

Cancellation

You may cancel your subscription at any time through your account settings.

Cancellation prevents future renewals.

Cancellation does not automatically refund previous payments.

Your subscription remains active until the end of the current billing period.

Refunds

Except where required by applicable law:

All subscription payments are non-refundable.

This includes:

partial billing periods;
unused time;
unused credits;
unused features;
dissatisfaction with results.

Virtual Publicist provides access to software and digital services immediately upon purchase.

Credits

Certain features may use credits.

Credits:

have no cash value;
are non-transferable unless expressly stated;
may expire if disclosed at purchase;
may be modified as the Service evolves.

Unused credits are generally non-refundable.

Availability

We strive to keep Virtual Publicist available and reliable.

However, we cannot guarantee uninterrupted access.

Maintenance, updates, outages or third-party failures may occasionally affect availability.

Security

We use reasonable security measures to protect the Service.

You are responsible for maintaining the security of your own account.

Privacy

Your use of Virtual Publicist is also governed by our Privacy Policy.

Please read it carefully.

Third-Party Services

Virtual Publicist integrates with third-party platforms.

We are not responsible for:

their availability;
their content;
their APIs;
changes to their services;
outages;
their privacy practices.

Intellectual Property

Except for User Content, Virtual Publicist and its technology, branding, software, databases, graphics, trademarks and other intellectual property remain the property of Virtual Publicist Co. or its licensors.

Nothing in these Terms grants ownership of Virtual Publicist intellectual property.

Suspension

We may suspend or terminate accounts that:

violate these Terms;
abuse the platform;
threaten security;
infringe intellectual property;
engage in fraud;
repeatedly violate community standards.

Where practical, we will attempt to notify affected users.

Termination

You may stop using Virtual Publicist at any time.

We may terminate or suspend access where necessary to protect the platform, our users or comply with legal obligations.

Certain provisions of these Terms survive termination, including ownership, intellectual property, payment obligations, limitations of liability and dispute provisions.

Disclaimer

Virtual Publicist provides information, technology and recommendations.

We do not promise or guarantee:

media coverage;
playlist placement;
sync licensing;
label interest;
sponsorships;
artist growth;
revenue;
career success.

Success depends on many factors beyond our control.

Limitation of Liability

To the fullest extent permitted by law, Virtual Publicist Co. shall not be liable for indirect, incidental, consequential, special or punitive damages arising from the use of the Service.

Our total liability shall not exceed the amount you paid to Virtual Publicist during the twelve (12) months immediately preceding the event giving rise to the claim, or USD $100 if you have not made any payment, whichever is greater.

Nothing in these Terms limits liability where such limitation is prohibited by law.

Indemnification

You agree to indemnify and hold harmless Virtual Publicist Co., its officers, directors, employees and affiliates from claims arising out of:

your content;
your misuse of the Service;
your violation of these Terms;
your infringement of another person's rights.

Changes to the Service

Virtual Publicist continually evolves.

We may:

introduce features;
discontinue features;
modify pricing;
improve AI;
redesign workflows;
change integrations.

Material changes to these Terms will be communicated where required.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution

Before initiating legal proceedings, we encourage users to contact us so we can attempt to resolve disputes in good faith.

Nothing in these Terms limits rights that cannot legally be waived.
